Pareti Mobile Walls – Terms and Conditions

These Terms and Conditions (“Agreement”) govern all sales and services between Pareti Mobile Walls, LLC (“Pareti”) and the purchaser (“Customer”). By placing an order, Customer acknowledges acceptance of these terms in full.

1. Authority & Agreement

Customer represents and warrants that they have the legal right and authority to enter into this Agreement and that no conflicting claims or encumbrances exist that would interfere with Pareti’s performance. This Agreement constitutes the full and final agreement between the parties and may not be modified except in a written document signed by authorized representatives of both parties.

2. Products & Materials

Pareti agrees to design and manufacture portable wall units, custom wall units, or other specified woodwork in accordance with agreed specifications.

Walls are constructed from natural wood and MDF board; natural variations (e.g., knots, grain, shade differences, imperfections) are inherent and not defects.
Customer acknowledges that such variations cannot be controlled or guaranteed.

3. Force Majeure

Pareti shall not be liable for delays or failure of performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, supply shortages, illness, accidents, or labor disputes.

4. Customer Responsibilities

Customer acknowledges that wood products are susceptible to water, humidity, and adverse jobsite conditions. Pareti shall not be responsible for damage caused by such conditions.
All orders are custom-built; materials cannot be returned, restocked, or refunded.
Customer accepts full responsibility for safe installation, handling, and use of Pareti products, including any modifications. Pareti shall not be liable for personal injury or property damage arising from use, transport, or installation of its products.

5. Shipment & Risk of Loss

All shipping dates are estimates only. Delivery times are not guaranteed.
Unless otherwise agreed, shipments are FOB Origin. Risk of loss passes to Customer once goods are delivered to the carrier, regardless of shipping method.
Customer is responsible for all freight charges, insurance claims, and inspection of goods upon receipt.
Pareti may assist with freight claims as a courtesy, but ultimate responsibility remains with Customer.

6. Payment Terms

Unless otherwise agreed, all invoices must be paid in full prior to production or shipment.
Late payments accrue interest at 1.5% per month (or the maximum legal rate, if lower).
Customer grants Pareti a purchase money security interest in the products until payment in full is received. Pareti reserves the right to repossess products in the event of default.

7. Returns & Exchanges

All sales are final. No returns or exchanges are permitted except as expressly provided in Pareti’s Limited Warranty.
Unauthorized returns will be refused and shipped back at Customer’s expense, with additional handling/storage fees.
Restocking fees (20% or higher) apply to any authorized returns caused by Customer error.

8. Limited Warranty

Pareti warrants that products will be free from material defects in workmanship upon delivery when used under normal conditions.
Warranty claims must be made in writing within 30 days of delivery. Failure to provide timely notice waives any claim.
Remedies are limited solely to repair or replacement, at Pareti’s discretion.
This Warranty excludes defects resulting from misuse, modification, improper installation, water exposure, or failure to follow Pareti’s instructions.

Disclaimer: Except as expressly stated herein, the products are provided “AS IS.” Pareti disclaims all other warranties, express or implied, including merchantability or fitness for a particular purpose.

9. Limitation of Liability

In no event shall Pareti be liable for:

Indirect, incidental, or consequential damages (including lost profits or business interruption);
Personal injury, property damage, or economic loss resulting from installation or use of products;
Any damages in excess of the purchase price actually paid for the product.

These limitations apply regardless of legal theory (contract, tort, strict liability, etc.) and survive failure of any limited remedy.

10. Intellectual Property

All designs, drawings, schematics, trademarks, and other intellectual property remain the sole property of Pareti. Customer acquires no ownership rights by purchasing products. Any use of Pareti’s intellectual property must be expressly authorized in writing.

11. Export & Resale Restrictions

Customer agrees products are purchased for personal or organizational use only, not for resale, unless authorized by Pareti in writing. Customer shall comply with all applicable export laws.

12. Governing Law & Venue

This Agreement shall be governed by the laws of the State of Iowa, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in Linn County, Iowa, and Customer consents to jurisdiction therein.

13. Miscellaneous

If any provision is held invalid, the remainder shall remain enforceable.
Failure of either party to enforce any term shall not be deemed a waiver.
The prevailing party in litigation shall be entitled to reasonable attorneys’ fees and costs.
Section headings are for convenience only and carry no legal effect.

14. Website Terms of Use

By accessing Pareti’s website, Customer agrees to comply with applicable laws and these Terms of Use. All site content is protected by copyright and trademark law. Pareti disclaims liability for damages arising from use of the site, including business interruption or loss of data.
